The website www.lancr.co (the "Website") is the official website of Lancr Technologies, a company providing global contractor payment solutions.

The Website is enabled by Lancr Technologies as a platform where individual professionals (the "Freelancer(s)") use the Website to provide a broad range of professional Services (collectively the "Services") to customers (the "Customer(s)"). Lancr Technologies acts solely as an intermediary platform facilitating introductions between Freelancers and Customers and processing payments, and is not a party to any agreement between them. The types of Services may vary and are determined by the Freelancers and Customers, provided such Services do not fall under the Prohibited Activities outlined in this Terms of Use or otherwise violate applicable laws or Lancr Technologies's policies.

The use of the Website is governed by this terms of use (the "Terms of Use"). The Website can be used by Freelancers and Customers who sign up and register themselves as members of the Website (the "Member(s)", "you"). The Customers who use the Website without signing up and registration shall be considered as Member for the purposes of this Terms of Use.

Any Freelancer or Customer, who signs up and registers himself or herself as a Member to the Website, or Customer, who uses the Website without signing up and registration, agree and acknowledge that this Terms of Use shall be applicable for any use of the Website and he or she has read, understood and accepted to be legally bound with the content of this Terms of Use.

Purpose and Subject

This Terms of Use intends to define the terms of use for the Website and the rights and obligations of the Members and Lancr Technologies during, and with respect to the use of the Website. Members acknowledge and agree that Lancr Technologies does not provide the professional Services listed on the Website and is not responsible for the execution, quality, or outcome of such Services. All Services are provided directly by Freelancers.

Ownership of the Website

This Terms of Use applies to the Website and all associated sites linked to the Website and Lancr Technologies's subsidiaries and affiliates. The Website is the property of Lancr Technologies. The Website and each of its components are the copyrighted property of Lancr Technologies and may not be used without Lancr Technologies's prior written consent. None of the content or data found on the Website may be reproduced, republished, distributed, sold, transferred, or modified without the express written permission of Lancr Technologies.

Rights and Obligations

The Members accept, declare and undertake that when they make use of the Website during their membership term and perform any operations in connection with the Website and the Services, they shall act in line with the terms and conditions hereof and all rules defined elsewhere in the Website and the entire applicable legislation, and that they have read and approved all terms and rules agreed herein.

All necessary information fields should be completed to be a member of the Website. Neither any right nor any claim defined herein and designated for Services offered on the Website may be used by minors. Therefore, in case the Member is an individual, he or she accepts that upon his or her approval of this Terms of Use, he or she is older than 18 years old.

User Account

When signing up and creating an account with Lancr Technologies, the Member represents and warrants that the information provided by the Member is accurate and complete. The e-mail address provided by the Member during the registration shall be taken as the basis and used in all correspondence in respect of the membership.

The Member accepts and undertakes that he or she shall only share personal data belonging to him or her, and he or she shall not unlawfully save, publish, distribute, or use personal data belonging to other people.

Acceptable Use Policy

This Acceptable Use Policy is established by Lancr Technologies to create and maintain a safe, legal, and ethical environment on the Website. Members are strictly prohibited from using the Website for any of the following activities:

As-Is Services

The Platform and all associated functionalities are provided "as-is" and "as-available." Lancr Technologies does not provide, perform, supervise, or control the services offered by Freelancers, and does not guarantee the quality, accuracy, timeliness, or outcomes of such services. To the fullest extent permitted by law, Lancr Technologies disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Members acknowledge and agree that they engage with Freelancers and use their services at their own risk. Lancr Technologies shall not be held responsible for any issues, losses, or damages arising from interactions between Freelancers and Customers or from the use of services facilitated through the Platform.

Intellectual Property

Lancr Technologies is the sole proprietor of all intellectual property rights related to the Platform, including the Website, its design, underlying software, functionality, and any content created or provided directly by Lancr Technologies. Nothing contained on the Platform shall be construed as granting any license or right to use any Lancr Technologies IP without the prior written consent of Lancr Technologies.

Data Usage Rights

Collection of Data: By using our services, you acknowledge and agree that we may collect, process, and store certain data, including but not limited to personal information, usage data, and interaction data, to provide and improve our services.

The Website and its content are delivered on an "as-is" and "as-available" basis.

Limitation of Liability

Except where prohibited by law, in no event shall Lancr Technologies be liable to the Member for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, even if Lancr Technologies has been advised of the possibility of such damages.

If, notwithstanding the other provisions of this Terms of Use, Lancr Technologies is found to be liable to you for any damage or loss which arises out of or is in any way connected with Member's use of the Website or any content, Lancr Technologies's liability shall in no event exceed $100 (one hundred US Dollars).

Indemnity

The Member hereby agrees to indemnify and hold Lancr Technologies, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates harmless from any demands, loss, liability, claims or expenses (including attorneys' fees), made against Lancr Technologies by any third party due to or arising out of or in connection with Member's use of the Website.

Modifications

Lancr Technologies reserves the right to do any of the following, at any time, without notice; (1) to modify, suspend or terminate operation of or access to the Website, or any portion of the Website, for any reason; (2) to modify or change the Website, or any portion of the Website, and any applicable policies or terms; and (3) to interrupt the operation of the Website, or any portion of the Website, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

Term and Termination

This Terms of Use shall remain in force as long as the Member maintains his or her membership at the Website and shall continue to be effective and operative between the Member and Lancr Technologies. Lancr Technologies reserves the right at any time and from time to time, to disable or terminate a Member's account, any username, password, or other identifier, in its sole discretion for any or no reason, including any violation of any provision of this Terms of Use.

User Responsibility

As a user of our services, you, the Member, are responsible for ensuring that your use of the services complies with all applicable laws, regulations, and these Terms of Service. You agree to provide accurate, current, and complete information when creating an account and to promptly update any information that may become inaccurate or outdated.

Governing Law and Dispute Resolution

These Terms of Use and any disputes arising from or relating to these Terms shall be governed by, and construed in accordance with, the laws of New York, USA, without regard to its conflict of law principles.
